Terms of Service

These Terms of Service govern your access to and use of Lena Code, a universal code platform operated by HAZE PARK.

By accessing Lena Code, creating an account, using the Service, or purchasing a paid plan, you agree to these Terms. If you do not agree to these Terms, you may not use the Service.

1. Definitions

In these Terms:

  • “Service” means Lena Code, including our website, applications, software tools, APIs, code transformation features, validation features, documentation, and related services.
  • “Operator,” “we,” “us,” or “our” means HAZE PARK.
  • “User,” “you,” or “your” means any person or entity that accesses or uses the Service.
  • “Input” means code, text, files, prompts, instructions, data, or other materials that you submit to the Service.
  • “Output” means code, text, suggestions, transformations, validation results, explanations, or other materials generated or returned by the Service.
  • “Subscription” means a paid plan that provides access to certain features, capacity, usage limits, or other benefits of the Service.

3. The Service

Lena Code provides tools for code transformation, code validation, code migration, and related workflow support across supported language pairs and platforms.

The Service may include automated, algorithmic, or AI-assisted features. The Service is intended to support software development workflows, but it does not replace professional engineering judgment, testing, security review, or legal review.

We may improve, modify, suspend, or discontinue parts of the Service from time to time. We may also add, remove, or change supported languages, transformation modes, validation methods, pricing, usage limits, or feature availability.

4. Eligibility

You may use the Service only if you are legally able to enter into a binding agreement.

If you use the Service on behalf of a company, organization, or other legal entity, you represent that you have authority to accept these Terms on behalf of that entity. In that case, “you” refers to both you and that entity.

You may not use the Service if you are prohibited from doing so under applicable laws or regulations.

5. Accounts

You may need to create an account to access certain features.

You agree to provide accurate, current, and complete account information and to keep that information updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You must notify us promptly if you believe your account has been compromised or used without authorization.

We are not responsible for losses caused by your failure to keep your account credentials secure.

6. Plans, Subscriptions, and Usage Limits

Lena Code may offer free, trial, and paid plans.

Each plan may include specific features, usage limits, capacity limits, supported language pairs, transformation limits, validation limits, or other restrictions.

We may update plan features, pricing, and usage limits from time to time. If we make material changes to a paid plan, we will take reasonable steps to notify affected users.

You may not attempt to bypass, manipulate, or interfere with usage limits, billing systems, access controls, or technical restrictions.

7. Payment and Billing

Paid plans are billed in U.S. dollars, unless otherwise stated.

Payments are processed through our designated payment provider.

Payment Provider: Lemon Squeezy

By purchasing a paid plan, you authorize us and our payment provider to charge the applicable fees, taxes, and recurring subscription amounts using the payment method you provide.

You are responsible for all applicable taxes, duties, currency conversion charges, bank fees, card issuer fees, and other charges imposed by your financial institution or applicable authorities.

We do not store full credit card numbers on our own servers. Payment information is handled by our payment provider according to its own terms, privacy policy, and security standards.

8. Automatic Renewal

Unless otherwise stated at checkout, paid Subscriptions renew automatically at the end of each billing period.

By subscribing to a paid plan, you authorize recurring charges until you cancel the Subscription.

You must cancel your Subscription before the next billing date to avoid being charged for the next billing period.

After cancellation, your paid access will usually remain available until the end of the current billing period, unless otherwise stated or required by applicable law.

Cancellation does not automatically entitle you to a refund for the current billing period. Refunds are handled according to our Refund Policy.

10. Refunds

Refunds are governed by our Refund Policy, which is incorporated into these Terms by reference.

Because Lena Code provides access to digital software features, certain fees may be non-refundable once access to the paid Service has started, except where mandatory consumer protection rules require otherwise or as expressly stated in our Refund Policy.

Nothing in these Terms limits any mandatory consumer rights you may have under applicable law.

11. Trials, Promotions, and Free Access

We may offer free trials, promotional plans, credits, or limited free access.

Trial or promotional access may be subject to additional terms, duration limits, usage limits, or eligibility restrictions.

We may modify, suspend, or end free trials, promotional offers, or free access at any time.

If a trial converts into a paid Subscription, we will charge the payment method you provided unless you cancel before the trial ends, where applicable.

12. User Input

You retain ownership of your Input.

By submitting Input to the Service, you grant us a limited, worldwide, non-exclusive license to process, transmit, transform, and otherwise use your Input only as necessary to provide the requested Service, with data handling for submitted source content bounded by our Privacy Policy. We do not persist your submitted source code beyond the request lifecycle.

You represent that you have all rights, licenses, and permissions necessary to submit Input to the Service.

You must not submit Input that violates laws, infringes third-party rights, contains malicious code, or includes confidential information that you are not authorized to use or disclose.

13. Output

Subject to these Terms and applicable law, you may use Output generated by the Service for your own personal or business purposes.

You are responsible for reviewing, testing, validating, and securing any Output before using it in production, commercial, critical, regulated, or security-sensitive environments.

Output may be incomplete, inaccurate, insecure, incompatible, or unsuitable for your intended use.

We do not guarantee that Output will be error-free, non-infringing, secure, or fit for a particular purpose.

14. Code, Security, and Production Use

Lena Code is a productivity and workflow tool.

You are responsible for independently verifying:

  • correctness of transformed code;
  • security of generated or modified code;
  • compatibility with your systems;
  • licensing implications;
  • performance implications;
  • compliance with your internal policies;
  • compliance with applicable laws and third-party rights.

You should not rely on the Service as the sole basis for production deployment, security decisions, legal compliance, or mission-critical operations.

15. Confidentiality of Submitted Materials

We will handle your Input in accordance with these Terms and our Privacy Policy.

You should not submit highly sensitive, regulated, classified, or restricted materials unless your plan, agreement, or written arrangement with us expressly permits such use.

If you use Lena Code on behalf of an organization, you are responsible for ensuring that your use complies with that organization’s confidentiality, security, and data handling policies.

16. Privacy

Our collection, use, storage, and protection of personal information is described in our Privacy Policy.

By using the Service, you acknowledge that your information may be processed in accordance with our Privacy Policy.

17. Third-Party Services

The Service may depend on or integrate with third-party services, such as hosting providers, payment processors, analytics tools, authentication providers, cloud infrastructure, AI service providers, or external APIs.

We are not responsible for third-party services, websites, software, terms, policies, outages, errors, or security incidents.

Your use of third-party services may be subject to separate terms and policies.

18. Acceptable Use

You agree not to use the Service to:

  • violate any applicable law, regulation, or third-party right;
  • upload, generate, transform, or distribute malware, spyware, ransomware, worms, destructive code, or other harmful software;
  • attempt to gain unauthorized access to systems, accounts, networks, or data;
  • conduct security attacks, phishing, credential theft, spam, fraud, or deceptive activity;
  • interfere with or disrupt the Service;
  • reverse engineer, scrape, crawl, or extract data from the Service except as permitted by law or with our written permission;
  • bypass usage limits, rate limits, access controls, billing systems, or security measures;
  • use the Service to develop competing models, systems, or services in a way that violates these Terms;
  • submit content that is unlawful, infringing, defamatory, abusive, or otherwise harmful;
  • use the Service in high-risk environments where failure could lead to death, personal injury, severe property damage, or significant environmental damage.

We may suspend or restrict access if we reasonably believe your use violates these Terms or creates legal, security, operational, or reputational risk.

19. Intellectual Property

The Service, including its software, design, interface, branding, documentation, workflows, models, systems, and underlying technology, is owned by us or our licensors.

Except for the rights expressly granted to you under these Terms, we reserve all rights in and to the Service.

You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works based on the Service except as permitted by these Terms or applicable law.

The name Lena Code, associated logos, product names, and branding are trademarks or brand assets of HAZE PARK or its licensors.

20. Feedback

If you provide feedback, suggestions, ideas, bug reports, or feature requests, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use them without restriction or compensation to you.

We may use feedback to improve the Service, develop new features, or modify our products.

21. Service Availability

We aim to provide a reliable Service, but we do not guarantee that the Service will be uninterrupted, error-free, secure, or available at all times.

The Service may be unavailable due to maintenance, updates, infrastructure issues, third-party service failures, security incidents, excessive demand, force majeure events, or other circumstances.

We may perform maintenance with or without prior notice.

22. Beta Features

We may offer beta, preview, experimental, or early-access features.

Beta features may be unstable, incomplete, inaccurate, or subject to change.

We may modify, suspend, or discontinue beta features at any time.

Beta features are provided “as is” and may be subject to additional restrictions.

23. Suspension and Termination

You may stop using the Service at any time.

We may suspend or terminate your access to the Service if:

  • you breach these Terms;
  • you fail to pay applicable fees;
  • your use creates legal, security, operational, or reputational risk;
  • we are required to do so by law;
  • your account appears to be compromised;
  • continued access may harm us, other users, third parties, or the Service.

Upon termination, your right to use the Service will end. Certain provisions of these Terms will survive termination, including provisions relating to payment obligations, intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and any other provisions that by their nature should survive.

24. Data Retention and Deletion

We may retain account information, billing records, usage records, support communications, and other information as necessary to provide the Service, comply with legal obligations, resolve disputes, prevent abuse, and enforce our agreements.

You may request deletion of certain information by contacting us, subject to legal, security, operational, and backup limitations.

25. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided on an “as is” and “as available” basis.

We disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and reliability.

We do not warrant that:

  • the Service will meet your requirements;
  • the Service will be uninterrupted, error-free, or secure;
  • Output will be accurate, complete, secure, or suitable for your use;
  • defects will be corrected;
  • the Service will be compatible with all systems, languages, frameworks, or environments.

Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.

26. Limitation of Liability

To the maximum extent permitted by applicable law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, loss of goodwill, or cost of substitute services.

To the maximum extent permitted by applicable law, our total liability arising out of or relating to the Service or these Terms will not exceed the greater of:

  • the amount you paid to us for the Service during the three months before the event giving rise to the claim; or
  • USD 100.

This limitation applies regardless of the legal theory, whether based on contract, tort, negligence, strict liability, warranty, or otherwise. Nothing in these Terms limits liability that cannot be limited under applicable law.

27. Indemnification

If you use the Service on behalf of a business or organization, you agree to indemnify and hold harmless HAZE PARK, its officers, directors, employees, contractors, affiliates, and agents from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  • your use of the Service;
  • your Input or Output;
  • your breach of these Terms;
  • your violation of applicable law;
  • your violation of third-party rights;
  • your misuse of the Service.

This section applies only to the extent permitted by applicable law.

28. Changes to the Service

We may change, update, suspend, or discontinue the Service or any part of it at any time.

We may also change features, supported languages, transformation modes, validation methods, usage limits, or pricing.

If a change materially affects your paid Subscription, we will take reasonable steps to notify you.

29. Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we will take reasonable steps to notify you, such as by posting the updated Terms on our website, sending an email, or displaying an in-service notice.

The updated Terms will become effective on the date stated in the updated Terms.

Your continued use of the Service after the updated Terms become effective means you accept the updated Terms.

30. Governing Law

These Terms are governed by the laws of the Republic of Korea, without regard to conflict of law principles.

Nothing in this section limits any mandatory consumer protection rights that may apply under the laws of your country or region.

31. Dispute Resolution

Before filing a formal claim, you agree to contact us first and attempt to resolve the dispute informally.

If the dispute cannot be resolved informally, the dispute will be handled by the competent courts of Busan, Republic of Korea, unless applicable law requires otherwise.

32. Force Majeure

We will not be liable for delay or failure to perform due to events beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, internet or telecommunications failures, power outages, cloud provider failures, payment provider failures, government actions, regulatory changes, security incidents, or other events beyond our reasonable control.

33. Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent.

We may assign or transfer these Terms in connection with a merger, acquisition, reorganization, sale of assets, financing, or by operation of law.

34. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in effect.

The invalid, illegal, or unenforceable provision will be interpreted or replaced to achieve the original purpose as closely as possible, to the extent permitted by applicable law.

35. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, Business Info page, and any additional terms that apply to specific features or plans, form the entire agreement between you and us regarding the Service.
